1. ENGAGEMENT

2. COMPENSATION

3. DEPOSIT POLICY
Deposits, when required, are due forty-five (45) days prior to the performance date. That timing may be changed only at the discretion of Artist management. Deposits are non-refundable after receipt unless Artist or Artist management agrees otherwise in writing. If Buyer cancels without Artist's written consent, any deposit paid is retained by Artist as liquidated damages (not a penalty), and Artist reserves all other rights and remedies.
4. CANCELLATION
• By Buyer: If Buyer cancels the engagement for any reason other than Force Majeure (defined below), Buyer remains responsible for the full Fee, less any portion Artist is able to reasonably mitigate, and any deposit is retained.
• By Artist: If Artist cancels other than for Force Majeure, illness, or unsafe conditions, Artist will return any deposit received for this date within fifteen (15) business days.
• Force Majeure: Neither party is liable for failure to perform due to causes beyond reasonable control, including but not limited to acts of God, war, terrorism, government action, epidemic, venue structural failure, or other emergencies that make the engagement impossible or unsafe. In a true Force Majeure cancellation, deposit handling will be discussed in good faith; absent agreement, deposit may be applied to a mutually rescheduled date within twelve (12) months.
5. BUYER OBLIGATIONS
Buyer will provide, at Buyer's expense unless noted:
• A safe, suitable performance space and agreed production (see rider if attached)
• Access for load-in, soundcheck, and performance at the times above
• Agreed backline / technical items: [SEE RIDER / OR LIST]
• Reasonable security as appropriate for the room and ticketed attendance
• Accurate advertising of Artist name and performance time
• Day-of Buyer representative with authority on site
6. ARTIST OBLIGATIONS
Artist will:
• Arrive and perform in a professional manner at the agreed times
• Provide advance materials (stage plot, input list, promo assets) by [ADVANCE DEADLINE — e.g. 14 days prior] upon request
• Comply with reasonable venue rules that have been disclosed in advance
7. RECORDING, STREAMING, AND PHOTOGRAPHY
No audio or video recording or live stream of Artist's performance for commercial use is permitted without Artist's prior written consent. Buyer may allow standard audience photography without flash for personal use unless Artist requests otherwise in advance. Professional press photography is OK if coordinated with Artist advance.
8. MERCHANDISE
Artist may sell merchandise at the engagement. Artist retains [100% / OR AGREE %] of merch sales unless a different split is written here: [MERCH SPLIT IF ANY]. Buyer will provide a reasonable merch location at no charge unless otherwise stated: [MERCH NOTES].
9. HOSPITALITY
Buyer will provide hospitality as follows (or as attached rider): [HOSPITALITY — e.g. "water, towels, modest green room" / "see rider"].
10. INSURANCE AND LIABILITY
Buyer maintains venue liability insurance customary for the room. Artist is responsible for Artist's own equipment insurance. Neither party is liable to the other for indirect or consequential damages. Direct damages arising from breach are limited to the Fee amount except in cases of willful misconduct.
11. INDEPENDENT CONTRACTOR
Artist is an independent contractor, not an employee of Buyer. Artist is responsible for Artist's own taxes on the Fee.
12. RIDERS AND ATTACHMENTS
Any technical rider, hospitality rider, or stage plot attached or referenced becomes part of this Agreement when initialed or accepted by both parties. In case of conflict, the body of this Agreement controls unless the rider expressly states otherwise.
13. ENTIRE AGREEMENT
This Agreement (plus any attached riders accepted by both parties) is the entire agreement for this engagement and supersedes prior discussions about this date. Changes must be in writing (email acceptable) and agreed by both parties. This Agreement is governed by the laws of the State of [GOVERNING STATE — e.g. New Mexico], without regard to conflict-of-law rules. If any clause is unenforceable, the rest remains in effect.
14. AUTHORITY
The person signing for Buyer represents they have authority to bind Buyer. The person signing for Artist represents they have authority to bind Artist / Cranked Up Records for this engagement as applicable.
